Acceptable Use Policy

This Acceptable Use Policy (the "Policy") governs your use of MinuteKeep (the "Service"). It forms part of, and is incorporated into, the Terms of Service. Capitalized terms have the meanings given there.

Breach of this Policy is a material breach of the Terms of Service. We may suspend or terminate access immediately, without notice and without refund, remove or disable content, preserve and disclose records, and report conduct to law enforcement or regulators, where we consider it appropriate.

1. General Standard

Use the Service lawfully, honestly, and for its intended purpose: creating and maintaining corporate and organizational records for entities you own, control, or are properly engaged to administer.

2. Accuracy and Honesty

You must not:

Documenting a corporate action after the fact is a normal and legitimate part of corporate record-keeping. Creating a record of something that did not happen is not. You are solely responsible for that distinction, and for whether it is appropriate and lawful for you to create, date, sign, or rely on any past-dated record. See Terms, Section 5.4.

You must not enter, or invite anyone to submit, personal information about another individual unless you have the authority, lawful basis, and any required consent to do so, and have given every notice required by law — including that the information will be stored and processed outside Canada. You must not enter sensitive information the Service is not designed for, including government identification numbers such as a Social Insurance Number, health information, biometric information, or payment card numbers. See the Data Processing Terms and Privacy Policy, Section 6.

5. Security and Integrity of the Service

Responsible disclosure. If you discover a vulnerability, report it in confidence to support@minutekeep.ca with enough detail to reproduce it. Do not access, modify, exfiltrate, or retain any data that is not yours, do not disrupt the Service, and do not disclose publicly until we have had a reasonable opportunity to remediate. We do not currently operate a paid bug bounty. We will not pursue action against good-faith research that follows these conditions.

6. Automated Access and Extraction

You must not scrape, crawl, spider, harvest, or use any robot, script, or automated means to access the Service, extract data, or create derivative datasets, without our prior written permission. You must not use the Service or any Output to train, fine-tune, evaluate, or ground any machine learning model, or to build or assist a competing product. You must not bypass, ignore, or misrepresent yourself to any robots.txt directive, rate limit, or access control.

7. Accounts, Sharing, and Resale

You must not share individual login credentials, sell or transfer an account, create accounts by automated means, create accounts to evade a suspension or a usage or pricing limit, or misuse the free tier by creating multiple accounts to obtain repeated free entitlements. You must not resell, sublicense, rent, or provide the Service to third parties as a service bureau, other than administering corporations you are properly engaged to administer.

8. Misrepresenting the Service

You must not represent, to a client or to anyone else, that:

None of these is true. See Terms, Section 2. If you are a lawyer, accountant, or other professional using the Service in your practice, you remain fully responsible to your own clients for the work, and you must not hold out MinuteKeep as the source of professional judgment.

9. Referral and Affiliate Conduct

If you participate in any referral or affiliate program we offer, you must not use spam, unsolicited commercial electronic messages contrary to CASL, misleading claims, trade-mark bidding on our marks, cookie stuffing, self-referral, or any other deceptive practice. We may withhold or reverse commissions and terminate participation for any breach.

10. Enforcement

We may, but are not obliged to, monitor use of the Service for compliance with this Policy. We may investigate suspected breaches, and we may preserve, review, and disclose records where necessary to investigate, to enforce this Policy or the Terms, to protect any person, or to comply with law. We are not obliged to give reasons before acting where we reasonably consider immediate action necessary.

Our enforcement rights are in addition to, and not in substitution for, any other remedy available to us. Failure to act on a breach is not a waiver.

11. Reporting

Report suspected misuse of the Service to support@minutekeep.ca.

12. Changes

We may update this Policy at any time. Material changes are notified in accordance with Terms, Section 22.1. Continued use after the effective date constitutes acceptance.
